Terms
NPReq API Terms
These Terms apply when you use the NPReq API ("the API") or data obtained from it ("NPReq Data"). "You" means the organization that holds the subscription, and "your users" means the people your product serves.
0. Business use, authority and acceptance
The API is offered only to businesses and other organizations, not to consumers for personal, family or household use. By checking the acceptance box at sign-in or checkout, creating an API key, or using the API, you accept these Terms. If you accept on behalf of an organization, you represent that you have authority to bind that organization, and "you" means that organization.
1. License
While your subscription is active and you comply with these Terms, Miles Medical Services, LLC ("we", "us") grants you a limited, non-exclusive, non-transferable, non-sublicensable license to call the API with your own API keys and the access tokens they issue, and to use NPReq Data for your internal business purposes and within your product as permitted in section 2, within your plan's limits. We may suspend or terminate this license only as described in section 7, 9 or 11.
Software acting for you, such as an AI agent, an app, a script or an integration, uses the API as you do, and you are responsible for it.
2. Permitted use
You may:
- look up requirements for your own work, for example credentialing, recruiting, staffing, compliance planning, or answering your users' questions;
- show NPReq Data to your employees, contractors and users inside your product, with the notice in section 4 and the attribution in section 5, provided that no single view, page, screen, report, response or export contains NPReq Data for more than 5 jurisdictions;
- use NPReq Data at run time in AI agents and apps, to look up and answer a specific question. Where practicable, the answer should state the
data_versionit came from, and you must always record thedata_versionin your logs or in the citation for that answer; - keep cached copies of NPReq Data so that you can serve it reliably. A cached copy may be kept until a newer
data_versionis published. Within 30 days after that, replace it with the newer data or delete it.
3. Restrictions
You may not:
- republish NPReq Data in bulk or in substantially complete form, or resell, sublicense or redistribute it. This covers any dataset, file, feed, API or database, whether free or paid;
- use NPReq Data to build or offer a competing directory, dataset or substitute for NPReq or the API;
- train or fine-tune a machine-learning model on NPReq Data;
- build an embedding store or index of NPReq Data that substitutes for calling the API. Run-time use under section 2 is allowed;
- share or publish your API keys or access tokens, or let anyone outside your organization use them;
- get around rate limits, quotas, scopes or IP restrictions, including by using more keys or accounts to exceed the limits of your plan;
- scrape npreq.com instead of using the API;
- probe, scan or test the API's security without our written permission;
- remove the notice, the attribution or the version information, or present NPReq Data as an official publication of any government or board of nursing;
- send to the API any protected health information (as defined under HIPAA), patient information, or other sensitive personal information. The API is not designed to receive it, and we do not act as your business associate.
3A. Ownership and reservation of rights
As between you and us, we and our licensors own all rights in the API, its documentation, and NPReq Data, including the selection, coordination, arrangement, structure, summaries, plain-language descriptions and versioning of NPReq Data, whether or not any of it is protected by copyright. You receive only the rights expressly granted in these Terms; no other rights are granted by implication, estoppel or otherwise, and we reserve all rights not expressly granted. Underlying public facts remain public; this section does not restrict you from obtaining them independently from official sources.
4. Not for clinical or licensing decisions
NPReq Data is a plain-language summary of public requirements, prepared from official sources:
- It is not legal, clinical, licensing or professional advice.
- It is not issued by any board of nursing or government agency.
- It may be incomplete, out of date or wrong. Boards change their rules, and individual circumstances matter.
Verify any requirement with the relevant state board of nursing or other official source before relying on it. You are responsible for the decisions you and your users make. Do not use NPReq Data as the only basis for a licensing, employment, clinical or compliance decision.
Wherever your users see NPReq Data, show this notice or an equivalent one: "Not for clinical or licensing decisions; verify with the state board."
5. Attribution
Wherever NPReq Data is displayed, credit it as "Source: NPReq.com, data version <data_version>", with a link to npreq.com where the medium allows. Keep the source link for each fact where your format allows.
6. Keys and security
Keep your keys and access tokens secret; you are responsible for all use of them. If you think a key has been exposed, revoke it in your account and tell us at support@npreq.com. We may revoke a key or end an access token that we believe is exposed, for example one sent in a URL or over plain http://.
7. Suspension and termination
We may suspend or limit your access at once if we reasonably believe that:
- you are breaking these Terms;
- your use threatens the security or stability of the API;
- your payment has failed; or
- the law requires it.
Where practicable, we will tell you why and give you a chance to fix the problem. A suspension does not earn a refund. We may terminate your subscription and license if you materially breach these Terms and do not cure the breach within 10 days after notice, or at once for a breach of section 3 or 6 that cannot reasonably be cured.
When your subscription ends or is terminated, your license ends, and within 30 days you must stop using and delete any NPReq Data you hold under section 2. Records of individual answers already given, kept for audit or legal reasons, are not NPReq Data you hold under section 2. On our written request, an authorized officer of your organization must certify the deletion in writing. You may keep records that the law requires you to keep, subject to these Terms, for as long as so required.
8. Monitoring, tracing and privacy
We log each API call (time, key identifier, endpoint and status) to run the service, enforce limits and detect abuse, and we keep these API call logs for 90 days. Separately, our hosting provider's web server access logs, which record IP addresses, are kept for up to 31 days for security and operations. Our hosting provider's own backup copies may also hold these logs, under its own retention schedule. Responses carry identifiers that let us trace a copy of NPReq Data back to the key that requested it. Our Privacy Notice explains the account data we hold (your sign-in email and team members), what remains after deletion, and how to delete your account.
9. Changes to the API, the data and these Terms
- Data. We update NPReq Data from time to time and version each release (
data_version). - Breaking changes. We give at least 90 days' notice before we remove or break a field or an endpoint of API version 1, by email to every account owner and on the API documentation page. A breaking change ships as a new version, and the old version keeps running until the notice period has passed.
- Emergency changes. We may make a change with shorter notice, or none, where we reasonably believe it is necessary to address a security vulnerability, to comply with law, a court order or a regulator, or to prevent harm to users, third parties or the service (the same grounds as section 7). In that case we will give as much notice as is practicable and limit the change to what is necessary.
- Discontinuation. If we discontinue the API, we give 90 days' notice and refund any unused prepaid period pro rata.
- These Terms. For a change that reduces your rights, we give 30 days' notice by email to account owners. Other changes take effect when they are posted. If you do not accept a change, you may cancel your subscription instead.
10. Warranty disclaimer and limitation of liability
THE API AND NPREQ DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, TIMELINESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. NPREQ DATA IS NOT FOR CLINICAL OR LICENSING DECISIONS (SECTION 4). TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- NEITHER MILES MEDICAL SERVICES, LLC NOR ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES OR AGENTS (THE "NPREQ PARTIES") IS LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, LOST PROFITS, LOST REVENUE OR LOST DATA, OR FOR DECISIONS MADE IN RELIANCE ON NPREQ DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES;
- THE NPREQ PARTIES' TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE API, NPREQ DATA OR THESE TERMS, UNDER ANY THEORY, IS LIMITED TO THE GREATER OF (A) THE FEES YOU PAID FOR THE API IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE FIRST CLAIM, AND (B) US$100.
THESE LIMITS ARE AN ESSENTIAL PART OF THE BARGAIN AND APPLY EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
10A. Indemnity
You will defend, indemnify and hold harmless the NPReq Parties from and against any third-party claim, and the resulting losses, damages, fines, costs and reasonable attorneys' fees, arising out of or relating to: (a) your or your users' use of the API or NPReq Data, including any reliance on NPReq Data by you, your users or anyone who receives it through your product; (b) your product, AI agent or integration; or (c) your breach of these Terms or of law. We will notify you promptly of a claim (delay relieves you only to the extent it prejudices you), let you control the defense, and reasonably cooperate at your expense. You may not settle a claim that imposes any obligation or admission on us without our written consent.
11. Payment, cancellation and refunds
Subscriptions are billed through our payment provider, Polar, as the merchant of record, under the plan and price shown at checkout. Polar's buyer terms also apply to your purchase; where they give you a refund right, that right applies in addition to this section.
- There is no free trial.
- You can cancel a monthly plan at any time. It runs to the end of the month you have paid for, and is not renewed.
- If you delete your account, every key and access token stops at once, and your subscriptions are not renewed: there are no further charges and no refund for the rest of a paid period.
- Other refunds are at our discretion and go through Polar. A full refund of a subscription's latest charge ends that subscription and its API access at once. Partial refunds that together refund the whole charge count as a full refund; a partial refund that leaves part of that charge paid does not end access. The pro-rata refund on discontinuation in section 9 is always paid.
12. Governing law and disputes
These Terms are governed by the laws of the State of Indiana, without regard to its conflict-of-law rules. There is no arbitration. Each party submits to the exclusive jurisdiction and venue of the state courts located in Owen County, Indiana, and the United States District Court for the district that includes that county, for any dispute arising out of or relating to these Terms, the API or NPReq Data. Either party may seek injunctive relief in any competent court to protect its intellectual property or confidential information.
TO THE EXTENT PERMITTED BY LAW, EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL, AND ANY DISPUTE WILL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, CONSOLIDATED OR REPRESENTATIVE ACTION.
13. General
- Entire agreement. These Terms, together with the Privacy Notice and your plan as shown at checkout, are the entire agreement about the API and replace any prior understanding about it.
- Severability. If any provision is held unenforceable, it will be enforced to the maximum extent permissible and the rest of these Terms remain in effect.
- No waiver. Failure or delay in enforcing a provision is not a waiver of it.
- Assignment. You may not assign or transfer these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition or sale of all or substantially all of the relevant assets. Any prohibited assignment is void.
- Force majeure. Neither party is liable for failure or delay caused by events beyond its reasonable control (other than payment obligations), including outages of hosting, network or payment providers, natural disasters, war, labor disputes and government action.
- Notices. We give notice by email to the account owner's address or by posting in the account portal or API documentation. You give notice by email to support@npreq.com. Email notices are effective when sent.
- Survival. Sections 3, 3A, 4, 7 (deletion and certification), 10, 10A, 12 and 13, and any accrued payment obligations, survive termination or expiry.
- Export and sanctions. You will comply with U.S. export control and sanctions laws and will not use the API from, or provide NPReq Data to anyone in, a sanctioned country or on a U.S. restricted party list.
- Independent parties. The parties are independent contractors. Nothing creates a partnership, joint venture, agency or employment relationship. There are no third-party beneficiaries except the NPReq Parties under sections 10 and 10A.
